1. Acceptance of these terms
These Terms of Service ("Terms") govern access to and use of products built by Attosol Private Limited ("Attosol," "we," "us"), including the Optix suite and other current and future tools we develop across various platforms and technologies (collectively, the "Services"). By provisioning, configuring, or using a Service, your organization ("Customer," "you") agrees to these Terms. If you are entering into these Terms on behalf of an organization, you confirm you have authority to bind that organization.
If your organization has a separate signed agreement with Attosol that covers a Service, that agreement controls to the extent it conflicts with these Terms.
2. Description of the services
Attosol's Services are IT administration and productivity tools that help organizations discover, govern, and migrate data across the platforms they use, including cloud storage, collaboration, and productivity services such as Google Workspace, Microsoft 365, Slack, and Zoho, among others. Because we continue developing tools around new technologies, the specific features, scopes, and platforms supported by a given Service may vary and may change over time as we add capabilities.
3. Accounts and administrators
Services are typically deployed and configured by one or more administrators designated by your organization. Administrators are responsible for:
-
Keeping login credentials and access tokens confidential and secure.
-
Determining which accounts, sites, drives, or channels a Service may access.
-
Managing which individuals within your organization may use or configure a Service.
You are responsible for all activity that occurs under your organization's account, and for promptly notifying us of any unauthorized use.
4. Access to third-party platforms
Many Services connect to third-party platforms through those providers' official administrative APIs, using permissions your administrator grants. Different tools request different scopes appropriate to what that specific tool does — a discovery tool may need only read access, while a migration tool may need broader access to write content to a destination.
You are responsible for ensuring your organization has the necessary rights and licenses to authorize a Service's access to a given third-party platform, and for complying with that third-party platform's own terms of service. Attosol is not responsible for changes a third-party platform makes to its APIs, availability, or terms that affect a Service's functionality.
5. Subscriptions, fees, and payment
Where a Service is offered on a subscription or licensed basis, fees, billing cycles, and payment terms will be set out in an order form, quote, or invoice provided to you. Except as otherwise agreed in writing, fees are non-refundable. We may suspend access to a Service for accounts with overdue payment, after reasonable notice.
6. Your data
As between Attosol and Customer, you retain all ownership rights in the data processed through a Service, including any content, metadata, or reports generated from your organization's platforms ("Customer Data"). We use Customer Data only to provide, support, and improve the Services, as described in our Privacy Policy , and do not sell it.
You are responsible for ensuring you have the right to have a Service access, process, or migrate the Customer Data you authorize it to handle, including any personal data of your employees, customers, or other third parties.
7. Hosting and infrastructure
Our infrastructure runs on Microsoft Azure. We use a separate, dedicated Azure Storage Account for each project or engagement, so data belonging to different customers or projects is never mixed together. Data can be kept in any region Azure supports, and we host it in the region(s) agreed with your organization. Compute for our products runs on virtual machines hosted on Azure, and our environment is managed entirely within the Microsoft Azure stack, so Microsoft's applicable Azure security, compliance, and data-handling policies apply to how we host and process your data. Once a project concludes, all data associated with it is purged from our systems.
8. Acceptable use
You agree not to use a Service to:
-
Access or attempt to access data or systems your organization is not authorized to access.
-
Violate the terms of service of any connected third-party platform.
-
Reverse engineer, decompile, or attempt to extract source code from a Service, except as permitted by law.
-
Introduce malware, or interfere with the security or normal operation of a Service.
-
Use a Service in a way that violates applicable law.
We may suspend access if we reasonably believe a Service is being used in violation of this section.
9. Intellectual property
Attosol retains all right, title, and interest in the Services, including all software, documentation, and underlying technology. These Terms do not grant you any rights to Attosol's trademarks, logos, or brand features except as needed to identify that you use a Service. Except for the Customer Data license implied by your use of a Service, no other intellectual property rights are transferred under these Terms.
10. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own similarly sensitive information, and not to disclose it except to employees, contractors, or advisors who need to know it, or as required by law. This section does not limit either party's ability to comply with this policy's data-handling commitments described in Hosting and infrastructure .
11. Warranties and disclaimers
Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available." Attosol disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a Service will be uninterrupted, error-free, or that it will detect, prevent, or migrate every item of data in every circumstance.
12. Limitation of liability
To the maximum extent permitted by law, Attosol will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of a Service. Attosol's total liability arising out of these Terms will not exceed the amount your organization paid for the applicable Service in the twelve months preceding the claim.
13. Term and termination
These Terms remain in effect for as long as your organization uses a Service. Either party may terminate a subscription in accordance with the applicable order form or, absent one, with reasonable written notice. Attosol may suspend or terminate access immediately if you materially breach these Terms and fail to cure the breach within a reasonable period after notice. Upon termination, your organization's Customer Data will be purged from our systems in accordance with Hosting and infrastructure , except where retention is required by law.
14. Indemnification
You agree to indemnify and hold Attosol harmless from claims arising out of your organization's misuse of a Service, violation of these Terms, or violation of a third-party platform's terms in connection with your use of a Service.
15. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a separate signed agreement between your organization and Attosol specifies otherwise.
16. Changes to these terms
We may update these Terms as our product portfolio grows, as we support new platforms and technologies, or as legal requirements change. If we make material changes, we will update the effective date above and, where appropriate, notify administrators directly. Continued use of a Service after changes take effect constitutes acceptance of the updated Terms.
